Advertising outcomes depend on many factors outside our control (platform changes, competition, seasonality, offer-market fit, website performance, etc.). We do not guarantee specific results, including but not limited to revenue, leads, ROAS, rankings, impressions, or conversion rates.
If you engage us, you agree to provide accurate information, timely approvals, and access required for service delivery (e.g., ad accounts, analytics, pixels, landing pages). You are responsible for the legality of your products/services and compliance with applicable laws and platform policies.
Unless otherwise agreed in writing, we retain ownership of our pre-existing tools, processes, templates, and know-how. Upon full payment, you receive a license to use deliverables created specifically for you as described in the SOW. Third-party assets (stock, fonts, platform content) are subject to their own licenses.
We will use reasonable efforts to keep non-public information confidential and to use it only for providing services. Confidentiality obligations do not apply to information that is public, independently developed, or lawfully obtained from third parties.
Fees and payment terms are defined in the SOW. You are responsible for any ad spend paid directly to platforms unless otherwise stated. You are responsible for applicable taxes, excluding taxes on our income.
To the maximum extent permitted by law, Buckeye Digital will not be liable for indirect, incidental, consequential, special, or punitive damages, or loss of profits, revenue, data, or goodwill. Our total liability for any claim will not exceed the fees paid to us in the three (3) months preceding the event giving rise to the claim.
You agree not to misuse the website (e.g., attempt unauthorized access, disrupt service, scrape unlawfully, transmit malicious code, or violate applicable laws). We may restrict access if we believe misuse is occurring.
These Terms are governed by the laws of the applicable jurisdiction where Buckeye Digital operates, without regard to conflict of law principles. Venue and jurisdiction will be determined in the written agreement/SOW when applicable.
